Welcome to Scalewo! These Terms and Conditions (“Terms”) govern your use of our services and website. By engaging our services or placing an order with Scalewo, you (“Client”) agree to be bound by the terms set forth below.
1. Business & Services Rendered
Scalewo operates as a digital agency based in Nangloi, Delhi – 110086, India. We provide digital marketing and design solutions, including but not limited to:
- Website Design & Development
- Social Media Management & Paid Advertising Services
- Graphic Design & Visual Assets
2. Quotations, Scope, and Revisions
- Scope of Work: The specific deliverables, timelines, and costs for each project will be outlined in the agreed proposal, invoice, or Scope of Work (SOW) provided to the Client.
- Included Revisions: Scalewo provides up to three (3) rounds of free revisions per project, provided the requested changes fall within the originally agreed scope.
- Additional Work: Any revisions requested beyond the initial three free rounds, or changes that alter the original project scope, will be billed separately at our standard agency rates.
3. Payment Terms & Billing
- Payment Schedule: For all fixed-scope projects, the Client must pay a 50% advance deposit before any project work commences. The remaining 50% balance is due upon project completion prior to final delivery or ownership transfer.
- Retainer Services: Ongoing services (e.g., social media management, paid ads administration) are billed strictly in advance at the start of each service cycle.
- Default/Late Payments: Scalewo reserves the right to withhold final files, suspend ongoing ad campaigns, or restrict site deployment if payments are not made on time.
4. Cancellation & Strict Refund Policy
- No Refunds After Work Begins: Once the initial 50% deposit is paid and work has commenced, all payments are non-refundable.
- Reasoning: Resources, planning, and labor are allocated immediately upon receiving payment. Even if a Client chooses to cancel or discontinue the project shortly after initiation (e.g., within 2 days), no refund will be issued for the advance deposit to cover work, research, and resource commitment already undertaken.
5. Intellectual Property & Final Access
- Ownership Transfer: All designs, website code, graphic files, and custom assets created by Scalewo remain the sole intellectual property of Scalewo until the Client pays the full project fee (100%).
- Delivery & Access: Full site administrator access, source graphics, final code, and ownership rights will only be transferred to the Client once the final 50% balance payment is cleared in full.
- Portfolio & Showcase Rights: Scalewo retains the right to display completed designs, screenshots, performance metrics (non-confidential), and project links in our agency portfolio, website, and social media channels for self-promotion, unless a formal Non-Disclosure Agreement (NDA) is executed prior to the start of the project.
6. Client Responsibilities & Delays
- Timely Provision of Assets: The Client agrees to provide all necessary text, logos, high-resolution media, account access, and feedback required to complete the project in a timely manner.
- Project Pauses: If the Client fails to communicate or supply required assets within 14 calendar days, Scalewo reserves the right to put the project on pause. Scalewo will make reasonable attempts to reach the Client via phone, email, or messaging channels to resume the project.
- Extended Delays: Projects paused for more than 30 consecutive days due to Client inaction may be subject to project rescheduling, fee adjustments, or re-activation terms.
7. Post-Launch & Limitation of Liability
- Third-Party Platforms: Scalewo is not liable for service outages, policy changes, ad account suspensions, or technical bugs arising from third-party platforms (e.g., Meta/Facebook Ads, Google Ads, hosting providers, or external software plugins).
- Limitation of Liability: To the maximum extent permitted by applicable Indian law, Scalewo’s total cumulative liability for any claim arising out of our services shall not exceed the total amount actually paid by the Client to Scalewo for the specific project in dispute.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Delhi, India. Any legal disputes or claims arising from our services shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
